Ondas Inc. has completed its purchase of Israeli electronic-fuzing company GATE Technologies and its Polish affiliate Bron Technologies. The transaction adds a component supplier to Ondas’ autonomous-strike portfolio, but the deal’s projected revenue, earnings and U.S. production plans remain company forecasts.

WEST PALM BEACH, Fla. — Ondas Inc. has acquired GATE Technologies and its affiliated Polish manufacturer, Bron Technologies, in a deal with $205 million of initial consideration and up to $185 million in contingent earn-outs, the company said. 1
Ondas’ Sept. 14 filing with the Securities and Exchange Commission says it acquired 100% of the companies’ issued and outstanding share capital under a share-purchase agreement signed and closed that day. The filing describes $105 million in cash, 10,689,655 Ondas shares and a working-capital adjustment. It also provides for up to $185 million in milestone-based earn-outs over the following two years. 2
Ondas’ press release describes the initial consideration as $105 million in cash and $100 million in common stock, plus a working-capital adjustment. It said about $22.5 million of stock consideration is expected within nine months of closing, subject to post-closing conditions. The company said earn-out payments are tied to financial targets through 2028. 1
GATE, founded in 2006, develops electronic safe-and-arm devices and electronic fuzing systems. Ondas says those products are integrated into dozens of weapons, including rockets, missiles, unmanned aerial vehicles and loitering munitions. The company’s claims about specific system integrations and production capacity were not independently detailed in the filing. 1 2
A fuze is a mechanical or electronic device used to initiate an explosive train, according to the U.S. Army. Safe-and-arm mechanisms are designed to keep munitions from initiating during handling, transport or launch until specified conditions are met. 3
Ondas said GATE’s products use a fully electronic architecture and can be configured for several weapons applications. It said the acquisition broadens its precision-strike portfolio by adding fuzing and safe-and-arm technology alongside autonomous platforms, propulsion, communications and mission-management systems. 1
Bron brings manufacturing, certification and licensing operations in Poland, Ondas said. The company described the acquired portfolio as non-ITAR for current production and said it has begun establishing U.S. engineering, integration, qualification and production capabilities. Ondas expects U.S.-produced finished products and integrated systems in the first half of 2027. That timeline is a company expectation, not a disclosed contract award or completed production milestone. 1
The company projects the acquired business will generate $65 million in 2026 revenue and $180 million in 2028 revenue, with more than $130 million of aggregate adjusted EBITDA through 2028. These are management projections, and Ondas cautioned that actual results could differ materially because of risks and uncertainties. 1
Independent reporting by Globes described the transaction as part of Ondas’ broader acquisition-led expansion in Israeli defense technology and confirmed the stated initial and contingent consideration. It did not provide independent validation of Ondas’ financial forecasts or future production plans. 4
The transaction is completed. Its operational effect will depend on whether GATE retains and expands qualified positions on customer programs, whether Ondas executes its planned U.S. localization effort, and whether the earn-out targets are met.
